2. Services Provided
Five Star VHR offers a comprehensive suite of luxury vacation rental management services designed to maximize owner returns and guest satisfaction. Our services include:
Luxury Listing Optimization: Professional photography, SEO-rich titles and descriptions, and interior curation to match discerning guest preferences (private pools, designer furnishings, fast Wi-Fi, outdoor living spaces).
Dynamic Pricing & Revenue Management: Real-time market analysis, nightly rate optimization, and demand-driven strategies to capitalize on Austin’s high-demand events and festivals while minimizing vacancy.
Full Marketing and Distribution: Listing management across all major platforms like Airbnb, VRBO, etc., plus direct booking support to reduce platform fees and increase owner payouts.
White-Glove Guest Experience: 24/7 guest communication, digital guest guides, and hotel-level hospitality from check-in to check-out.
Operations and Quality Control: Local quality control teams perform rigorous 200-point checklists, professional cleaning, and proactive maintenance.
Ownership Transparency and Support: Monthly revenue reports, 24/7 owner portal access, clear fee structures, personal-use date blocking, and guidance on licensing, taxes, and insurance.
Damage Protection and Guest Screening: Comprehensive damage protection and guest screening to minimize risks and lower owner costs.
3. Owner Responsibilities
By engaging our services, owners agree to the following responsibilities:
Accurate Property Information: Owners must provide complete and accurate information about their property, including its condition, amenities, and any restrictions or requirements relevant to short-term rentals.
Legal Compliance: Owners are responsible for ensuring their property complies with all applicable local, state, and federal laws, including, but not limited to, licensing, permitting, zoning regulations, and tax requirements. Five Star VHR provides guidance but does not assume legal responsibility for owner compliance.
Insurance: Owners must maintain adequate property and liability insurance coverage for their property. We may require proof of insurance before commencing management services.
Property Condition: Owners are responsible for maintaining the property in good condition and promptly addressing any structural or system issues (e.g., plumbing, electrical, HVAC) that may affect guest safety or satisfaction.
Accuracy of Personal Use Dates: Owners who block dates for personal use through the owner portal must do so accurately. We are not liable for lost revenue or scheduling conflicts arising from incorrect personal-use blocking.
4. Engagement, Quotes, and FeesEngagement Process:
To engage our services, owners must complete our intake process, including a complimentary property evaluation. We provide an in-depth report with estimated monthly revenue using advanced analytical tools and our local market expertise.
Management Agreement: Specific management terms, including fee structure, duration of engagement, and exclusive services, will be outlined in a separate Management Agreement signed by both parties. These Terms of Service supplement and are incorporated into that agreement.
Fees & Pricing: Our management fees are structured to be clear and transparent. Fees are typically calculated as a percentage of gross rental revenue, with specific terms detailed in the Management Agreement. Additional fees may apply for specialized services such as design consultations, deep cleaning, or capital repairs.
Payment Terms: Owner payouts are issued monthly, with detailed revenue reports available through the owner portal. Fees are deducted from rental revenue before payout. Owners are responsible for any applicable taxes.
5. Booking, Guests, and Property UseGuest Screening:
We employ rigorous guest screening protocols. We reserve the right to decline or cancel bookings at our discretion based on guest history, property suitability, or other factors.
Guest Conduct: Guests are required to abide by all house rules, occupancy limits, and applicable laws. We enforce these rules and may remove guests who violate them.
Property Access: Owners grant us access to the property for showings, inspections, cleaning, maintenance, and guest stays. We will provide reasonable notice for non-emergency access, except in emergencies requiring immediate access to protect life or property.
Personal Use: Owners may block dates for personal use through the owner portal. Personal use dates are subject to availability and may be limited during peak-demand periods, as outlined in the Management Agreement. Owners may not use the property for their own rental purposes outside our management.
6. Intellectual PropertyOwner Content:
Owners retain all intellectual property rights in any designs, photographs, or content they provide. By submitting such content, owners grant us a non-exclusive, royalty-free license to use, reproduce, and display that content for marketing, listing, and management purposes.
Our Intellectual Property: All content on our Website, including text, graphics, logos, and proprietary processes, is the property of Five Star VHR and is protected by copyright, trademark, and other intellectual property laws. Owners and users may not reproduce, distribute, or create derivative works without our express written permission.
Listing Content: All listing descriptions, photographs, and marketing materials created by us in the course of management are our property. Upon termination of the Management Agreement, we may grant a limited license for owners to continue using such materials, subject to the terms agreed upon.
7. ConfidentialityOwner Information:
Any financial information, property details, or other non-public information provided by owners (“Confidential Information”) will be treated as confidential. We will not disclose Confidential Information except as necessary to perform management services, as required by law, or with the owner’s consent.
Our Information: Owners agree not to disclose our proprietary processes, pricing models, trade secrets, or other confidential business information.
Data Security: We implement reasonable safeguards to protect the data of owners and guests. However, no data transmission over the internet is completely secure, and we cannot guarantee absolute security.
8. Performance Claims and RepresentationsHistorical Performance:
We highlight our portfolio’s performance metrics, including the fact that 95% of our properties hold Airbnb “Guest Favorite” status and that we have accumulated over 3,000 five-star reviews. These figures reflect historical performance across our portfolio and do not guarantee future results for any specific property.
Revenue Projections: Revenue estimates provided in property evaluations are projections based on analytical tools and market knowledge. Actual revenue may vary based on market conditions, property specifics, and operational factors.
No Guarantee of Bookings: While we employ data-driven strategies to maximize occupancy, we do not guarantee any minimum level of bookings, revenue, or returns.
9. Limitation of LiabilityExclusion of Damages:
To the fullest extent permitted by law, Five Star VHR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with our services, including but not limited to lost profits, lost revenue, or property damage, even if advised of the possibility of such damages.
Limitation of Liability: Our total liability for any claim arising from our services shall not exceed the total management fees paid by the owner to us in the twelve months preceding the claim.
Force Majeure: We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, utility outages, strikes, or acts of God.
10. TerminationTermination by Owner:
Owners may terminate the Management Agreement with written notice as specified in the agreement. Upon termination, we will provide a final accounting and payout within a reasonable period.
Termination by Us: We may terminate the Management Agreement immediately if an owner breaches these Terms of Service or the Management Agreement, including failure to maintain required insurance, property conditions that pose safety risks, or misrepresentation of property information.
Effect of Termination: Upon termination, we will cease all management activities, remove listings, and provide owners with access to resume control of their property. Any outstanding fees or charges will be deducted from the final payout. Owners remain responsible for any booked stays that extend beyond the termination date, with terms to be agreed upon.
11. Governing Law and Dispute ResolutionGoverning Law:
These Terms of Service and any related agreements shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Dispute Resolution: Any disputes arising out of or in connection with these Terms of Service or our services shall be resolved as follows:
Negotiation: The parties agree to first attempt to resolve any dispute through good-faith informal negotiation.
Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association (AAA). Judgment on the arbitration award may be entered in any court having jurisdiction.
Small Claims: Either party may bring an individual action in Travis County, Texas, small claims court instead of arbitration.
Class Action Waiver: All disputes shall be resolved on an individual basis, and no dispute shall be brought as a class, collective, or representative action.
12. Changes to the Terms of ServiceRight to Modify:
We reserve the right to update, modify, or change these Terms of Service at any time. The updated Terms will be posted on our Website with a revised effective date.
Notification of Changes: We will notify owners of significant changes via email or through a notice on the Website. Continued use of our services after the changes have been posted constitutes acceptance of the revised Terms.
13. Privacy Policy
By using our Website and services, owners and users agree to the collection, use, and processing of personal information as outlined in our Privacy Policy. The Privacy Policy is incorporated into these Terms of Service by reference.
14. Miscellaneous
Severability: If any provision of these Terms of Service is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms of Service, together with the Management Agreement and Privacy Policy, constitute the entire agreement between the owner and Five Star VHR regarding our services. Any prior agreements are superseded.
Assignment: We may assign our rights and obligations under these Terms of Service without the owner's consent. Owners may not assign their rights or obligations without our prior written consent.
Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
